THE APOSTOLIC CHURCH GRAMMAR SCHOOL OLD STUDENTS’ ASSOCIATION
REPORT OF THE CONSTITUTION REVIEW COMMITTEE
PROPOSED AMENDMENTS TO THE CONSTITUTION
WHEREAS the Association duly constituted the undersigned and all Set Co-ordinators into a Constitution Review Committee for the purpose reviewing and proposing amendments to the Constitution, particularly with regard to the conduct of elections and other related matters.
AND WHEREAS the Committee duly met on 30th August, 2009 with the undersigned being present.
IT IS HEREBY PROPOSED TO AMEND THE CONSTITUTION AS FOLLOWS:
ARTICLE IV
1. Article IV (a) shall be amended and reworded as follows:
i The officers of the Association shall be elected at the Annual General Meeting in the last year of the incumbent Executive Committee. Voting shall be by delegates as provided under Article V (e). Save as provided under (ii) and (iii) below every Financial Member shall be entitled to be voted for.
ii. No person shall be eligible to be voted into the offices of President, Vice-President, Lady Vice-President, Secretary, Treasurer and Financial Secretary unless that person had previously at any time been a member of the Executive Committee who (a) attained a minimum of 50% attendance at the meetings of the Executive Committee of which that person was a member, and (b) was not removed from office for misconduct or incompetence.
iii. An incumbent member of the Executive Committee shall subject to (ii) above and Article VI (g) be eligible to contest for election into the new Executive Committee if he /she attained a minimum of 50% attendance at the meetings and functions of the Association (including Executive Committee meetings, General Meetings and other activities) within the life of the incumbent Executive Committee or from the time in which he became a member of the Executive Committee.
2 Article IV (c) shall be amended to include the offices of Lady-Vice President, two (2) Welfare Officers and Ex-Officio members not exceeding three (3). Also the designation of the SECRETARY shall be amended to GENERAL SECRETARY.
ARTICLE V
3 Article V (a) shall be expunged.
4 Article V (b) shall be reworded as follows:
‘All members present who are eligible to vote shall decide on the voting method (i.e. secret or open ballot)’.
5 Article V (c) shall be amended by substituting ‘Annual General Meeting’ for ‘Bi-Annual General Conference and ‘at a General Meeting’ for ‘by the Executive Committee’.
6 Article V (e) shall be amended as follows:
‘Voting shall be by delegates. The delegates shall comprise the following:
i. all members of the Executive Committee.
ii. four members of each Chartered Set who shall include the Set Co-ordinator and the Secretary.
A delegate must be a Financial Member and shall be entitled to only one vote which shall be exercised by ballot.
ARTICLE VI
7 All references to Bi-Annual Conference shall be amended to read Annual General Meeting.
8 A new Article VI (h) shall be inserted as follows:
‘Set Co-ordinators and Chapter Co-ordinators shall for the purpose of attending meetings of the Executive Committee be deemed to members of the Executive Committee.’
ARTICLE VIII
9 The following shall be inserted as appropriate within Article VIII:
i. LADY VICE-PRESIDENT
The Lady Vice-President shall:
a. Generally co-ordinate the female members of THE ASSOCIATION.
b. Assist the President and shall perform all the duties of the President in the absence of the President and Vice-President or any other duty assigned to her by the President.
There shall be no separate election into the office of Lady Vice-President where the Vice-President is a female.
ii. WELFARE OFFICERS
The Welfare Officers shall:
a. Maintain regular contacts with members for the purpose of ascertaining their welfare situation.
b. Alert THE ASSOCIATION promptly to the welfare needs and rights of members and co-ordinate the response of THE ASSOCIATION to such.
c. Present a welfare report at every General Meeting of THE ASSOCIATION.
Iii EX-OFFICIO MEMBERS
The Ex-Officio members shall be entitled to attend Executive Committee meetings and offer counsel to the Executive Committee as may be desired or appropriate.
ARTICLE IX
10 All references to annual convention or annual conference shall read Annual General Meeting.
11 The Annual General Meeting of THE ASSOCIATION shall hold in January of each year at the School Premises.
ARTICLE X
12 The Trustees shall be five (5) in number instead of four (4)
GENERAL
13 A new Article X shall be inserted before the present Article X as follows:
ARTICLE X – SETS AND CHAPTERS.
(a) THE ASSOCIATION shall be divided into Sets according to the period of expected stay of each batch of students within THE SCHOOL commencing with the first batch of students in 1964. Accordingly, the Sets within THE ASSOCIATION shall be as follows:
i. 1964-69
ii. 1970-75
iii. 1976-81
iv. 1982-88
v. 1989-94
vi. 1995-2001
vii. 2002-2008
viii. Every subsequent grouping of six (6) years.
(b) A member of the Association shall be at liberty to join any Set of his choice provided that the member spent a minimum of one year in THE SCHOOL within the period which constitutes such Set.
(c) A Set shall be led by the Set Co-ordinator and Secretary and other officers as may be elected by the members provided that the Executive Committee of the Association may appoint initial officers (i.e. the Set Co-ordinator and Secretary) for any Set and may also appoint caretaker officers to manage any Set in the event of crisis within the Set.
(d) Sets shall hold regular meetings provided that no meeting or other activity of any Set shall conflict with any meeting or activity of THE ASSOCIATION.
(e) Any five (5) members of THE ASSOCIATION belonging to any of the groupings designated as Sets may apply to the Executive Committee for Charter as such a Set.
(f) Any five (5) members of the Association resident outside of Lagos State of Nigeria may apply to the Executive Committee for charter as a Chapter of the Association. Any such group of members must have held a minimum of three meetings in the year immediately preceding the application.
(g) The provisions of (c) and (d) above shall apply to Chapters as if the reference to Sets in those provisions were a reference to Chapters.
(h) No officer of any Set or Chapter or any other grouping within THE ASSOCIATION shall be addressed as PRESIDENT OR GENERAL SECRETARY.
SPECIAL CLAUSE
14. THE ASSOCIATION must adopt THE SPECIAL CLAUSE as provided at PART C of the Companies And Allied Matters Act. A copy of the Special Clause is attached.
