ARTICLE 17 - ADOPTION AND AMENDMENT OF THE CONSTITUTION
AMENDMENT OF THE CONSTITUTION
This constitution shall be amended by addition and/or deletion and when the occasion demands.
Any motion for constitutional amendment by a member must be in writing and must be done by
members of the general meeting with a quorum after which it would be forwarded to the Corporate
Affairs Commission for approval.
In all cases, details of the proposed amendment(s) to this constitution shall be circulated
to all members at least 2 calendar months before same is tabled before the General Assembly for
consideration. Such amendment is duly made where the motion has the support of the majority of
members present at such General Meeting.
SPECIAL CLAUSE
1. THE INCOME AND PROPERTY of THE APOSTOLIC CHURCH GRAMMAR SCHOOL ORISHIGUN, LAGOS OLD STUDENTS'
ASSOCIATION whensoever derived shall be applied solely towards the promotion of the objects of THE
APOSTOLIC CHURCH GRAMMAR SCHOOL ORISHIGUN, LAGOS OLD STUDENTS' ASSOCIATION as set forth in this
rules and regulations/constitution: and no portion there of shall be paid or transferred directly
or indirectly, by the way of divided, bonus, or THE APOSTOLIC CHURCH GRAMMAR SCHOOL ORISHIGUN, LAGOS
OLD STUDENTS' ASSOCIATION.
2. PROVIDED that nothing herein shall prevent the payment, in good faith, or reasonable and proper
renumeration to officer or servant of THE APOSTOLIC CHURCH GRAMMAR SCHOOL ORISHIGUN, LAGOS OLD
STUDENTS' ASSOCIATION in return for any service actually rendered to THE APOSTOLIC CHURCH GRAMMAR
SCHOOL ORISHIGUN, LAGOS OLD STUDENTS' ASSOCIATION but so that no member of the council or governing
body shall be appointed to any salaried office of THE APOSTOLIC CHURCH GRAMMAR
SCHOOL ORISHIGUN, LAGOS OLD STUDENTS' ASSOCIATION paid by fees: and that no renumeration or other
benefit in money or monies shall be given by THE APOSTOLIC CHURCH GRAMMAR
SCHOOL ORISHIGUN, LAGOS OLD STUDENTS' ASSOCIATION to any member of the council or governing body except
repayment-of-pocket expenses or reasonable and proper rent for premises demised or let to THE APOSTOLIC CHURCH GRAMMAR
SCHOOL ORISHIGUN, LAGOS OLD STUDENTS' ASSOCIATION provide that the provision last aforesaid shall not apply to any
repayment of any company to a member shall not be bound to account, for any share of profits he may receive
in respect of any such payment.
3. NO ADDITION, alteration or amendment shall by made to or in the RULES AND REGULATIONS/CONSTITUTION for the
time being in force unless the same have been previously submitted by the register-general.
4.In the event of a winding up or dissolution of THE APOSTOLIC CHURCH GRAMMAR
SCHOOL ORISHIGUN OLD STUDENTS' ASSOCIATION (TACGSOSA) there remains, after the satisfaction of all its
debts and liabilities, any property whatsoever, the same shall not be aid to and distributed among the
members of THE APOSTOLIC CHURCH GRAMMAR SCHOOL ORISHIGUN, LAGOS OLD STUDENTS' ASSOCIATION but shall be
given transferred to some other institutions having objects similar to the object of THE APOSTOLIC CHURCH GRAMMAR
SCHOOL ORISHIGUN, LAGOS OLD STUDENTS' ASSOCIATION and the body or bodies are prohibited from
distributing its their income and property amongst its or their members to an extent at
least as great as is imposed on THE APOSTOLIC CHURCH GRAMMAR
SCHOOL ORISHIGUN, LAGOS OLD STUDENTS' ASSOCIATION under of by virtue of the SPECIAL CLAUSE hereof, such
institution or institutions to be determined by member of THE APOSTOLIC CHURCH GRAMMAR
SCHOOL ORISHIGUN, LAGOS OLD STUDENTS' ASSOCIATION cannot be given to the aforesaid provision then
to some charitable object.
